Terms of use
Last updated: 15/10/2026
Working draft, to be validated by a lawyer before launch: bracketed details will be filled in once the company is created.
Preamble
These terms of use (the "Terms") govern access to and use of the Elanza service, published by [Raison sociale], [forme juridique, ex. SAS] with a share capital of [capital social], registered at [RCS ville et numéro], whose registered office is at [adresse du siège] ("Elanza", "we").
By creating an account or using the service, you accept these Terms. If you act for an agency or a company, you confirm you are authorised to bind it. Financial terms (plans, payment, cancellation) are in the terms of sale. The French version of these documents prevails.
1. Definitions
"Service": the Elanza platform, on the website and app, which helps content creators and talent agencies manage brand partnerships.
"User": anyone with an account. "Creator": a user who manages their own partnerships. "Agency": an organisation managing several creators; its "Members" are its admins, managers and invited creators.
"Space": a creator's workspace holding their brands, deals, contracts, invoices and documents. "Content": all data imported, entered or generated in a space.
2. The service
Elanza lets you: receive brand emails (read-only Gmail connection, mailbox export import, or a personal forwarding address); automatically identify proposals, contracts, invoices and payments; track deals, usage rights and exclusivities; prepare reminders and invoices; compute commissions and payouts for agencies; and produce dashboards and reviews.
The service evolves. We may add, change or remove features, without substantially reducing the core paid service without telling you.
3. Account and security
You sign up with an email address (sign-in link) or a Google account, and must keep your details accurate. The service is for people aged 16 or over; under 18, a legal guardian must agree to any subscription.
You are responsible for keeping your access confidential and for activity on your account. Tell us at [e-mail de contact] without delay about any unauthorised use. In "My account" you can see and sign out connected devices.
4. Mailbox access
You choose how Elanza receives your emails: (a) read-only Gmail connection, revocable at any time; (b) manual import of an export file; (c) forwarding to your personal Elanza address, with no access to your mailbox.
In every case Elanza sorts the emails: only brand-related ones (partnerships, contracts, invoices, payments) are kept; the rest are read automatically, then forgotten, without being stored.
Use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements: it is only used to provide Elanza features visible to you, is never sold or used for advertising, and is not read by humans except with your consent, for security, or where the law requires.
5. Artificial intelligence
Some features (deal detection, contract reading, reminder drafting, assistant) rely on an AI model from a provider. Your content is not used to train its models.
AI results are aids and may be incomplete or wrong. You remain the judge of amounts, deadlines, clauses and messages, which you must check before using them. Elanza does not provide legal, tax, accounting or financial advice.
6. Agencies and members
An agency creates one space per creator and invites its members (admin, manager, creator). The agency sets everyone's rights and remains responsible for its members' use of the service.
The agency confirms it holds, for each managed creator, a contract or mandate allowing it to process their data and, where relevant, to issue invoices in their name (billing mandate). Elanza is not a party to the relations between the agency, its creators and brands.
For managed creators' data, the agency is the controller and Elanza the processor, under the data processing agreement (DPA) attached to these Terms.
7. Invoices issued with Elanza
Elanza generates invoices from the information you enter (issuer and client identity, services, amounts, VAT, due date). You are responsible for their accuracy and compliance, including mandatory mentions and the applicable VAT regime.
Once issued, an invoice gets a final number and can no longer be changed; corrections go through a credit note. The electronic format targets the EN 16931 standard; filing it on an e-invoicing platform, where mandatory, remains your responsibility until Elanza is connected to an approved platform.
8. Your content
You keep all rights in your content. You only grant us the right to host, process and display it to provide the service, for as long as your account exists.
You confirm you hold the rights needed for the content you import (including third-party emails and documents) and that its processing by Elanza breaches no right or confidentiality obligation.
9. Prohibited use
You may not: import data without the right to; try to access other users' spaces; bypass technical or security limits; mass-extract data from the service; send unlawful, misleading or unsolicited messages from the service; resell access without written consent; or use the service for unlawful activity.
In case of breach we may suspend or close the account, after notice except in emergencies or serious security threats.
10. Availability and security
We do our best to keep the service available 24/7, subject to maintenance (announced where possible) and incidents beyond our control.
Data is hosted in the European Union, encrypted in transit and isolated per space. Gmail access tokens are encrypted. We will inform you of any personal data breach affecting you as required by law.
11. Intellectual property
The service, brand, software, interfaces, texts and visuals are protected and remain the property of Elanza or its partners. You get a personal, non-exclusive, non-transferable right to use them while your account exists.
Ambient videos come from royalty-free libraries (Pexels), used under their licence.
12. Liability
Elanza has an obligation of means. We are not liable for decisions you take based on information in the service, for relations with brands or creators, or for indirect damage (loss of revenue, opportunity or reputation).
For business users, our total liability is limited to the amounts paid for the service in the twelve months before the event. These limits do not apply to gross negligence, wilful misconduct or bodily injury.
13. Term, termination, deletion
These Terms apply while you have an account. You can delete it at any time in "My account": all your data is then erased, except what the law requires us to keep (e.g. subscription invoices).
Before leaving you can download all your data (full export) from "My account".
14. Changes
We may update these Terms. For substantial changes you will be told by email or in the app at least 30 days before they apply. If you disagree, you can cancel before that date.
15. Governing law and disputes
These Terms are governed by French law. If anything goes wrong, write to us first at [e-mail de contact]: we always look for an amicable solution.
Consumers may use the consumer mediator free of charge: [médiateur de la consommation et site], or the EU online dispute resolution platform. Failing agreement, and for businesses, the courts of [tribunal compétent, ex. Paris] have jurisdiction.
